EAS Terms of Agreement

Agreement revised January 11th, 2010.

This is the official Terms of Agreement of Effective Advertising Solutions LLC.

Invoice Payment:

Invoices are payable upon receipt. Overdue payments shall be subject to interest charges of 12 percent after 30 days.

Deposits & Payment Schedules:

Generally, for projects $500 or less, we require a 50% deposit to start, the balance due upon completion. For projects that exceed $500 our schedule is below.

  • 1/3 deposit paid prior to us beginning your project
  • 1/3 after first creative submission
  • 1/3 at completion

Complex, multi-task, or large scale projects may be subject to a custom schedule. For instance, a $10,000 project may be broken down into the following phases or something similar:

  • $2,000 deposit paid prior to us beginning your project.
  • $2,000 after first creative submission (Phase 1).
    • Require payment of this invoice prior to us beginning Phase 3.
  • $2,000 after Phase 2 is complete.
    • Require payment of this invoice prior to us beginning Phase 4.
  • $2,000 after Phase 3 is complete.
    • Require payment of this invoice prior to us beginning Phase 4.
  • $2,000 after Final Revision Phase is complete. (Final Invoice)
    • Final Project will be delivered upon receipt of payment.

We will not deliver completed designs unless balances are paid in full or payment arrangements have been made. In addition, projects which require the purchase of external resources i.e. printing and delivery costs, web hosting/domain fees, professional or stock photography, etc. will need to be payed in full prior to the time EAS needs to purchase such services from outside vendors.

There will be a $35 NSF Fee applied to returned checks. A late fee of 15% per 30 days will also be charged on outstanding invoices.

When we begin a project we require approval of our terms in one of two ways:

  • The signing of a project Agreement outlining the project details, timelines, and fee schedules.
  • The "online approval" of an estimate emailed to you, where you visit our billing center, and click "Approve Estimate". We will then convert the estimate to an invoice and send that to you along with your deposit/retainer fee.

For website hosting, maintenance, and support packages, you may setup an automatic subscription with a credit or debit card, paypal or bank account that allows for the automatic debit of your monthly hosting cost. Weekly, bi-weekly, or monthly debit options are available.

Payment Methods:

We accept Visa, Mastercard, Discover, American Express, Check/Money Order, and PayPal. PayPal allows select banks to pay via Bank Transfer). Invoices may be paid online using FreshBooks. Click here to visit our Billing Center.

Ownership:

Design Documents including, but not limited to, sketches/comps, designs, illustrations, website proofs, custom marketing/advertising ideas/concepts, and all other design documents are the exclusive property of Effective Advertising Solutions LLC. Exclusive copyright of these materials is reserved by Effective Advertising Solutions LLC; upon full payment of all fees and costs, Client is granted the right to use the designs contained in these materials specified in project contract only. All other rights remain the exclusive property of Effective Advertising Solutions LLC.

Rush Service:

Rush service on projects is available when the EAS workload will allow. Our fee for rush service is 50% of your project cost and will reduce your ETA by 1/2.

Project Organization:

For simplication purposes, Effective Advertising Solutions LLC will hereinafter be called "EAS". Also we would like to make the distinction between the term 'project manager', which is referring to the person from your company responsible for handling decisions and communications regarding a project, and 'Project Manager', which is our project management login / software we have set up to assist our clients and employees in effectively handling large amounts of communication in a clear and organized way.

Each new EAS client will have a company account created in our Project Manager. All of a clients active projects will be accessible from within the Project Manager. Projects are to be assigned to one of your companys project managers and key employees within the Project Manager. Each project will have specific access that can be set to a specific project manager and employees that will be working on that specific project. To avoid costly confustion, it is important that all communications with us come from the project manager. Our organizational process is further illustrated in better detail in the EAS New Project Flow Chart and EAS How We Work Together below.

New Project Process / Flow:

    1. New Project requirement is submitted by your project manager.
    2. EAS either: 1) creates an estimate, 2) invoices you directly, or 3) emails you an agreement form, depending on the complexity of the project.
    3. Your project manager either 1) approves estimate, 2) signs agreement
    4. EAS sends you an invoice in full / deposit / retainer fee.
    5. You submit payment.
    6. EAS begins project, and creates the new project in your Project Manager.

Ongoing Project Process / Flow (very large / long-term project):

    1. New Ongoing Project requirement is submitted by your project manager.
    2. EAS creates the new project in the Project Manager, sends an email notification to all the people designated access to the project.
    3. It is determined how to treat the individual tasks within the larger project in order to determine which one of the three methods are most appropriate for the task at hand:
      1. Simple Project-Based Tasks:
        1. EAS either creates an estimate to be approved, and then invoices client, or invoices client directly, and then begins project once payment in full/retainer is paid by client.
      2. Complex Project-Based Tasks:
        1. EAS sends an agreement form to be signed, then an invoice/retainer fee is sent, and then we begin project once payment in full/retainer is paid by client.
      3. Time-Based Tasks:
        1. Clients project manager has Deadlines created, Task Lists/Tasks created, and provides the Necessary materials to complete the task to EAS. EAS then completes the Task recording the amount of time it takes for each task and sends an invoice. Once payment is received, we begin the next task. Client determines which Tasks are most important and assigns them in the proper order, along with task deadlines. Large or long-term projects may be billed daily, weekly, bi-weekly, monthly, once a certain dollar amount is reached, etc. and can be negotiated with EAS so the terms are mutually beneficial.
